These Terms of Service ("Terms") are a binding agreement between you and CodeVaultEx LLC, a New Jersey limited liability company ("CodeVaultEx", "we", "us"), governing your use of codevaultex.com and our services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract. You are responsible for complying with the laws that apply to you, including any rules governing automated trading in your jurisdiction.
CodeVaultEx is a marketplace where creators upload trading-bot software that runs in our hosted, isolated environment, and subscribers ("buyers") can rent access to that software. Bots may operate in paper (simulated) mode or, where enabled and authorized by you, generate signals or place orders on a brokerage/exchange account that you connect. The Service is a tool; you remain solely responsible for your trading decisions and capital.
You are responsible for your login credentials and all activity under your account. Enable two-factor authentication where available. Notify us promptly of any unauthorized use.
CodeVaultEx never holds, controls, or withdraws your trading funds. If you connect an exchange or brokerage, you do so with your own credentials and at your own risk, and you authorize the bot's actions within the limits you set. Third-party exchanges and brokers are governed by their own terms.
You agree not to misuse the Service, including by attempting to access others' data or source code, reverse-engineering hosted bots, disrupting the platform, or using it for unlawful activity.
Nothing on the Service is investment, financial, legal, or tax advice. Performance figures โ including paper-trading and hypothetical results โ have inherent limitations and are not a promise of future results. Trading involves substantial risk of loss. See the Risk Disclaimer.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any bot will be profitable.
To the maximum extent permitted by law, CodeVaultEx and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, or lost data, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
You agree to indemnify and hold harmless CodeVaultEx from claims, losses, and expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in New Jersey, unless otherwise required by law.
We may update these Terms; material changes will be posted here with a new date. Continued use after changes means you accept the updated Terms.
Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or Commercial Rules, as applicable), rather than in court. The seat and location of arbitration will be New Jersey, and the arbitration may be conducted by video or telephone where the rules permit. Judgment on the award may be entered in any court of competent jurisdiction.
Informal resolution first. Before starting arbitration, you agree to contact us at support@codevaultex.com and give us 30 days to resolve the dispute.
Class-action and jury-trial waiver. You and CodeVaultEx agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. You and CodeVaultEx waive any right to a jury trial.
Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorized access to the Service.
Opt-out. You may opt out of this Section 16 by emailing support@codevaultex.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court. This Section survives termination of your account.
We respect intellectual-property rights and expect users to do the same. If you believe content on the Service (including an uploaded bot, description, or review) infringes your copyright, send a written notice under the Digital Millennium Copyright Act ("DMCA") to our designated agent:
Your notice must include: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the allegedly infringing material and information reasonably sufficient to let us locate it; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.
Counter-notice. If your material was removed and you believe it was removed in error, you may send a counter-notice to dmca@codevaultex.com that includes your signature, identification of the removed material and its prior location, a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake or misidentification, your contact information, and your consent to the jurisdiction of the federal court for your district (or, if outside the U.S., the District of New Jersey). We may restore the material in 10โ14 business days unless the original complainant files a court action.
Repeat infringers. We will, in appropriate circumstances, disable or terminate the accounts of users who are repeat infringers.
The Service is offered only where it is lawful to do so and is not available where prohibited. By using the Service you represent and warrant that you are not (a) located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions or embargoes, and (b) not a person or entity identified on any U.S. government restricted-party list, including the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals list, nor owned or controlled by any such person.
You agree not to use the Service in violation of any applicable sanctions, export-control, or anti-money-laundering ("AML") laws, and not to use the Service to facilitate money laundering, terrorist financing, or other illicit finance. We may screen accounts, decline service, suspend access, or report activity as required to comply with these laws.
"User Content" means ratings, reviews, comments, and other material you post to the Service (other than uploaded bot code, which is governed by Section 4). You retain ownership of your User Content. You grant CodeVaultEx a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content in connection with operating and promoting the Service.
You represent that your User Content is accurate, is your own (or that you have the right to post it), and does not violate any law or third-party right. You agree not to post content that is false, misleading, defamatory, harassing, infringing, or that manipulates ratings. We may moderate, edit, refuse, or remove User Content at our discretion, but we are not obligated to monitor it and are not responsible for it.
By using the Service you consent to receive communications from us electronically โ including agreements, notices, disclosures, receipts, and other records โ by email or by posting to the Service. You agree that electronic communications and records satisfy any legal requirement that such communications be in writing, consistent with the federal E-SIGN Act. You may withdraw this consent by closing your account, but doing so may prevent you from using the Service. Keep your email address current so you continue to receive these communications.
Execution differs by venue. On supported crypto exchanges, an authorized bot may place orders automatically on the account you connect. For stocks, forex, and prediction-market venues โ including Alpaca, OANDA, Tradier, Kalshi, and Interactive Brokers (IBKR) โ the Service operates in a verification / signals-only capacity: it records and verifies activity and may generate signals, and you remain responsible for reviewing and acting on them. Availability of any mode depends on the venue and may change.
Trade-only credentials. We ask you to provide API keys scoped to trading only, with withdrawals disabled. You are responsible for the permissions you grant when you connect an account. If you supply credentials with broader access than the Service needs โ including withdrawal-enabled or full-access keys โ you do so at your own risk and assume responsibility for the consequences of that broader access, and CodeVaultEx is not liable for losses arising from permissions beyond the trade-only scope we request. We never request withdrawal-enabled keys and never take custody of your funds (see Section 6).
